* Royal Exchange Plc will hold an Extraordinary General Meeting (EGM) on July 15, 2026, to seek shareholder approval for a capital raise of up to ₦2.7 billion through a public offer of 2,076,923,077 new ordinary shares at ₦1.30 per share.
* The company proposes to increase its share capital from ₦4,630,833,067 to ₦5,171,811,008.50 by creating 1,081,955,883 new ordinary shares to accommodate the capital raise.
* Shareholders will also be asked to authorize the Board of Directors to allot these new shares, amend the company's Memorandum of Association, and formally note the company's intention to acquire and recapitalize Royal Exchange Prudential Limited.
