NESTLE NIGERIA PLC.-NESTLE PRESS RELEASE ON PROPOSED TRANSACTION WITH PLATINUM EQUITY
• Nestlé S.A. and Platinum Equity have entered into an exclusive agreement to create "Peranel," a 50/50 joint venture for Nestlé’s global waters and premium beverages business.
• As part of the transaction, Nestlé Nigeria will transfer its existing waters business to the new joint venture for "adequate consideration," subject to local approvals and shareholder ratification.
• The transaction is expected to close in the first half of 2027 and will not impact the shareholding structure of Nestlé in Nestlé Nigeria.
