Dangote Refinery Extends IPO Deadline to October 27 After SEC Approval

By —

Dangote Petroleum Refinery and Petrochemicals has pushed the closing date of its initial public offering from October 13 to October 27, 2026, adding two weeks for investors to apply for shares. The company announced the change on Monday, October 12, and said the Securities and Exchange Commission approved the extension.

The offer opened on September 14 and is expected to become Africa's largest share sale. The refinery, owned by Africa's richest person, Aliko Dangote, is targeting up to 10 million retail investors in Nigeria and other African countries.

Why the window was widened

The company said the extra time will support efforts to expand distribution channels in other African countries and make cross-border investment easier. It will also give prospective investors room to complete account-opening procedures, identity verification and other regulatory requirements needed to take part in the offer.

Reuters reported that the extension follows strong investor interest across Africa and is intended to broaden access to the offer.

Offer size and capacity

The share sale is expected to raise about $1.6 billion. Proceeds could reach $2.1 billion if an over-allotment option is exercised. The refinery began processing crude oil in early 2024 and has a nameplate capacity of 700,000 barrels per day.

The facility sits at the centre of Nigeria's push to cut dependence on imported petroleum products and lift domestic refining capacity. The IPO is also a major test of how much appetite African retail investors have for ownership in a large industrial asset.

Cross-border limits remain

The prospectus states that the share sale is not registered as a public offering outside Nigeria. That means investors in other African countries must rely on applicable local regulations or use a limited number of eligible online investment platforms to participate.

The arrangement points to the wider difficulty of cross-border investment in Africa, where fragmented capital markets make it hard for investors to buy shares in companies operating in other countries.

Student share grant

The Aliko Dangote Foundation has unveiled a Student Share Grant Initiative that will give qualifying Nigerian students 10 free shares in Dangote Petroleum Refinery and Petrochemicals FZE after they subscribe to the IPO.

The programme is open to students aged 18 and above enrolled in public or private tertiary institutions across Nigeria. To qualify, students must complete a verification process and subscribe to at least 10 shares through the foundation's dedicated platform, ipo.alikodangotefoundation.org.

For Nigerian capital market operators, the two-week extension is more time to onboard retail accounts and process Know Your Customer checks, which has been one of the biggest practical hurdles in past offers. How many of the targeted 10 million investors actually convert will show whether the market can absorb an offer of this size without leaning heavily on institutional money.
